1. Acceptance of Terms
Welcome to Consultease (“Service,” “Platform,” “we,” “our,” or “us”), a cloud-based CRM and ERP software platform operated for study abroad consultancies.
These Terms and Conditions (“Terms,” “Agreement”) govern your access to and use of Consultease (consultease.tech), including our dashboard services, self-service student portals, and database management systems.
By registering for an account, subscribing to our plans, or accessing the Platform, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you are entering into this Agreement on behalf of a consultancy or legal entity, you represent that you have the authority to bind such entity to these Terms. If you do not agree to these Terms, you may not use the Platform.
2. Account Registration and Security
To use the full functionality of the Platform, you must register for an account and create an agency profile. You agree to the following terms regarding account creation:
- Accuracy of Information: You must provide current, complete, and accurate registration information (including legal business name, contact info, and tax registration details, if applicable). You agree to keep this information up-to-date.
- Staff Accounts: Agency administrators may create individual login accounts for their staff (counselors, managers, documentation officers). Each staff account must be linked to a single individual. Sharing login credentials among multiple staff members is strictly prohibited.
- Account Security: You are responsible for maintaining the confidentiality of all login credentials, including passwords and API keys. You must immediately notify us at info@consultease.tech if you suspect any unauthorized access to your account.
- Liability: You are solely responsible for all actions, updates, files uploaded, and settings modifications performed under your agency workspace. We are not liable for any loss resulting from unauthorized access due to weak credentials.
3. Subscriptions, Fees, and Payments
Certain services on Consultease are subject to payment of monthly or annual subscription fees (“Fees”).
A. Subscription Tiers and Billing Cycles
Fees are determined based on your selected plan tier, number of active counselors, or system features used.
- Subscriptions are billed in advance on a recurring monthly or annual basis, starting from the day your paid tier begins.
- All subscriptions will auto-renew at the end of each billing cycle under the same terms, unless you cancel your subscription at least 7 days before the renewal date.
B. Non-Payment and Account Suspension
If we are unable to charge your registered payment method on the renewal date, we will grant a grace period of 7 business days to update your billing details. After the grace period:
- Your agency workspace will be locked into a “Read-Only” state.
- Counselors and students will not be able to upload new files, modify application steps, or process AI extractions.
- If Fees remain unpaid for 30 consecutive days, we reserve the right to terminate your workspace database, subject to our standard data retention policies.
C. Fee Changes and Refunds
We may modify Fees for any tier upon 30 days' advance notice. Price changes will only apply to the next billing cycle. All Fees paid are non-refundable, except as required by law or specified in a signed service agreement.
4. Data Ownership and Licenses
We respect the ownership of the files and records you store on our Platform:
- Customer Data Ownership: The agency and/or the respective students retain full ownership, intellectual property rights, and title to all documents, transcripts, passport copies, financial receipts, and text records uploaded to Consultease (“Customer Data”).
- Platform Intellectual Property: Consultease owns all rights, title, and interest in the Platform software, including UI code, databases, design elements, logo branding, workflows, and proprietary machine learning model algorithms. You may not copy, reverse-engineer, or distribute any part of the Platform without written permission.
- License to Host: You grant Consultease a worldwide, non-exclusive, royalty-free, limited license to host, copy, transmit, store, and process your Customer Data solely for the purpose of providing the Service (including running OCR extraction on transcripts, displaying portals to students, and transmitting files to destination colleges as instructed by you).
5. Acceptable Use Policy
By using Consultease, you agree not to, and to ensure your counselors and students do not, engage in any of the following prohibited behaviors:
- Academic Integrity & Fraud: Uploading forged, altered, or fraudulent academic documents, transcripts, identity papers, or bank logs. Consultease is designed for legitimate educational consultancies. Any suspected pattern of visa fraud or document forgery will lead to immediate account termination.
- System Security: Attempting to probe, scan, or test the vulnerability of our servers, bypass authentication screens, or inject malicious code (viruses, trojans, worms) into the Platform.
- Scraping and API Abuse: Scraping the dashboard UI or calling our backend database endpoints using automated scripts outside our public developer APIs.
- Spamming: Using the built-in email or SMS automation tools to send spam messages or marketing alerts to students who have not consented to such communications.
6. Platform Performance and Maintenance SLA
We endeavor to keep Consultease secure, high-performing, and continuously available:
- Service Uptime Goal: We target a monthly service uptime of 99.9%, excluding scheduled maintenance windows.
- Scheduled Maintenance: We perform routine system updates and server optimization. Maintenance that may cause service interruptions is typically conducted between 12:00 AM and 4:00 AM local time (UTC+5:45) on weekends, with 24 hours' advance notification on the dashboard status page.
- Data Backups: As part of our service availability, we run hourly backup replication for database state and daily backup schedules for file attachments.
7. Warranty Disclaimers and Limitation of Liability
EXCEPT AS EXPRESSLY WRITTEN IN THESE TERMS, CONSULTEASE IS PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS. WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
IN NO EVENT SHALL CONSULTEASE, ITS DIRECTORS, EMPLOYEES, OR APIS SUBPROCESSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, REVENUE, DATA, ACCREDITATION, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH:
- YOUR USE OF OR INABILITY TO USE THE PLATFORM;
- ANY ERRORS OR ACCURACY ISSUES IN THE AUTOMATED AI OCR TRANSCRIPT DATA EXTRACTION FEATURES;
- ANY DELAYS, VISA REJECTIONS, OR APPLICATION DENIALS BY THIRD-PARTY UNIVERSITIES OR EMBASSIES.
OUR MAXIMUM AGGREGATE LIABILITY FOR ALL CLAIMS UNDER THESE TERMS SHALL NOT EXCEED THE TOTAL FEES PAID BY YOU TO CONSULTEASE IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM EVENT.
8. Suspension and Termination
These Terms remain in effect until your subscription is cancelled or your account is closed:
- Termination by Agency: You can cancel your subscription and close your agency workspace at any time through the workspace settings panel.
- Termination by Consultease: We reserve the right to suspend or terminate your access to the platform immediately, without notice, if we establish a breach of Section 5 (Acceptable Use), non-payment of subscription Fee renewals beyond 30 days, or fraudulent business practices.
- Data Retention Post-Termination: Upon termination, you will have a 60-day export window to retrieve all student applications, attachments, and profiles in CSV and PDF archives. After 60 days, all customer database tables relating to your agency will be permanently deleted from our primary servers.
9. Governing Law and Dispute Resolution
This Agreement and any dispute arising out of it shall be governed by, and construed in accordance with, the laws of Nepal, without regard to conflict of law principles.
Any disputes, controversies, or claims arising out of or relating to this platform service, its breach, or validity, shall be settled through mutual consultation. If a settlement is not reached within 45 days, the dispute shall be referred to and resolved by arbitration in Kathmandu, Nepal, in accordance with the prevailing arbitration rules. The language of arbitration shall be English.
10. Changes to Terms and Contact Info
We reserve the right to update or modify these Terms at any time. When we make changes, we will update the “Last Updated” date at the top of this document.
Your continued use of Consultease after any modifications take effect constitutes your acceptance of the revised Terms. If you do not agree to the new terms, your only option is to cease using the Platform.
